Please read these Terms of Service ("Terms") carefully before using the Cortex Technologies website (the "Site") or engaging our services.

1. Agreement to Terms

By accessing or using the Site, or by engaging Cortex Technologies for any project, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

2. Services

Cortex Technologies provides engineering services in the following areas: - Embedded AI and Edge Machine Learning - Industrial IoT system design - Computer Vision pipelines - Robotics and Control systems - Backend APIs and infrastructure

Specific deliverables, timelines, and payment terms for any engagement are defined in a separate Statement of Work (SOW) or service agreement signed by both parties. In the absence of a signed agreement, no work is commenced.

3. Intellectual Property

Our Work Product

Unless explicitly agreed otherwise in writing, all custom code, designs, models, and documentation developed for a client become the client's property upon full payment. We retain the right to reference the project in our portfolio unless a non-disclosure agreement (NDA) is in place.

Our Existing Assets

Pre-existing tools, libraries, frameworks, or methodologies we bring to a project remain our intellectual property. We grant clients a perpetual licence to use these within the context of the delivered system.

Third-Party Components

Projects may incorporate open-source or third-party components. These are subject to their respective licences, which will be disclosed to the client.

4. Confidentiality

We treat all client project information as confidential. We will not disclose client data, system specifications, or business details to third parties without written consent, except where required by law.

5. Payment

All fees are as agreed in the signed SOW.
Standard payment terms are 50% upfront, 50% on delivery, unless otherwise agreed.
Invoices are due within 14 days of issue.
Late payments may result in work being paused.

6. Limitation of Liability

To the maximum extent permitted by law, Cortex Technologies shall not be liable for: - Indirect, incidental, or consequential damages arising from the use of our services - Losses caused by client-provided hardware failure, third-party service outages, or misuse of delivered systems - Any damages exceeding the total fees paid for the relevant engagement

Nothing in these Terms limits liability for fraud or personal injury caused by our negligence.

7. Warranties and Disclaimers

We warrant that services will be performed with reasonable skill and care. We do not warrant that any delivered system will be free of defects under all operating conditions. Post-delivery support and warranty periods are defined in the SOW.

The Site and its content are provided "as is" without warranty of any kind.

8. Governing Law

These Terms are governed by the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

9. Changes to These Terms

We reserve the right to update these Terms at any time. The "Last updated" date will reflect changes. Continued use of the Site following an update constitutes acceptance of the revised Terms.
